Branch Privacy Policy

  1. Introduction

    Branch Messenger, Inc., a Delaware corporation ("Branch", "our", "us", or "we") respects your privacy. We are committed to protecting the privacy of our users while providing a personalized and valuable service. With that in mind, we have created this Privacy Policy (or “Policy”) to help you understand how we process your Personal Information (as defined below) as well as your rights and choices with respect to that processing. This Policy applies to the collection, use, storage, and processing of Personal Information (defined below) of consumers, including both individuals and business users, in connection with transactions conducted through the Website (defined below), the Branch App (defined below), or any other component of Branch's Services.

  2. Changes to Our Privacy

    We may change or update this Policy periodically. When we do, we will notify you of any material changes as required by law by appropriate means which may include, but are not limited to, posting the revised Policy on our website and/or sending notice to an email or approved communication device pursuant to our Electronic Consumer Consent, found here: https://www.branchapp.com/legal/comm. Any changes to this Policy will become effective when posted unless indicated otherwise. In connection with the provision of the Services, we may provide additional “just in time” disclosures or additional information about our data practices. These notices may supplement this Policy, clarify Branch’s privacy practices in the circumstances described or provide you with additional choices about how Branch processes your Personal Information.

  3. Branch Services; Applicability

    Branch operates the Branch website www.branchapp.com (the “Website”), the Branch mobile application and related user portals (“Branch App”), and offers various financial wellness products and services (collectively, the “Services”). For the purposes of this Policy, the “Branch App'' includes the Branch App any “white labelled” Branch App (e.g. versions of the Branch app which are white labelled with a company's name and logo) and excludes any third-party controlled websites or applications accessible through the Branch App.

    Other products offered through Branch include a deposit account (a ”Branch Account”) and a Mastercard Debit Card (a “Branch Card”), issued by Evolve Bank & Trust, Member FDIC or Lead Bank, Member FDIC, which are Branch’s sponsor banks (each, a “Sponsor Bank”). The name of your Sponsor Bank will be on the back of your Branch Card and in the Branch App. Our Terms of Service (available at http://www.branchapp.com/legal/terms), contains more detail about the Branch Services that are available to you.

    This Policy applies only to the collection, use, storage, and other processing of information that relates to identified individuals or households (“Personal Information”) through our Services.

    Please Note: This privacy policy does not apply to data processed by our Sponsor Banks. See below for links to our Sponsor Banks’ privacy notices and other relevant information.

    This Policy also does not apply to other third party partners (e.g., Greenhouse or any of Branch's rewards programs) whose products, services, websites or content are integrated into the Branch Website, Branch App or any other Service offered by Branch (“Integrated Services”), which are governed by the privacy policies of the party providing the Integrated Service.

    Finally, this Policy does not apply to the companies that use Branch to pay you (“Payors Partners”).

    By using our Services, you acknowledge that you have read and understand this Policy and the processing of your Personal Information as described in this Policy. This is our entire and exclusive Policy the Services and it supersedes any earlier version. Please review this Policy before using the Services.

  5. A Note About Company Information

    We may collect, but this policy does not apply to Company Information. Company Information is information related to your business or its operations that you submit to us in connection with a Branch Account, Branch Card or any Branch Service (e.g., when you provide your personal bank account information for payment processing). Company Information may include, but is not limited to: (a) company name; (b) physical address, including street name and name of city or town; (c) email address or other electronic contact information; (d) telephone number; (e) tax identification number; (f) bank or card account number; (g) financial statements; (h) information about officers, directors, and other control persons; and (i) any other information from or about your Company.

  6. What Personal Information Does Branch Collect?

    We collect Personal Information in various contexts, such as when you visit our Website or use the Branch App, when you use your Branch Card, Branch Account or any other Branch Service. We also may also obtain Personal Information about you in other ways, such as when you call, mail, email us, or engage with us through the Branch App or chat features. The types of Personal Information we obtain may include:

    • Audio/Visual Data. Audio files and records, such as voicemails, call recordings, and the like.
    • Automated Data, such as data from cookies and web beacons;
    • Communication and Online Content, including content within any messages you send to us (such as when you contact support or ask a question);
    • Contact Data. such as name, telephone number, and postal and email address;
    • Device Data, such as device type, mobile operating system, identifiers, settings, configurations, IP addresses, battery and signal strength, usage statistics, dates and times of usage, actions taken on the app, and other information regarding the use of the app.
    • Geographic Location Data, such as information based on services you request (e.g., helping you locate the nearest ATM);
    • Inferred Data, such as data created from our analysis of other data that reflects your preferences, market segments, and other data or analytics provided about, and your interests.
    • Telephone Carrier Data, such as network status, customer type, billing type, mobile device identifiers (IMSI and IMEI), and other subscriber status details;
    • Transaction Data. including information associated with your use of Branch Services such as ACH transfers and debit card transactions;
    • User Demographic information, such as age, date of birth, employment information, marital status, sex, gender, and military or veteran status;
    • User Data, including other information you choose to provide, such as through our “Contact Us” feature, emails or other communications, social media pages, surveys, registrations and sign-up forms;
    • Sensitive Personal Information, Personal Information deemed “sensitive” under California or other laws. We collect the following categories of Sensitive Personal Information:
    • Account Credentials, such as password, unique customer identification numbers, and other information for authentication and account access;
    • Financial Data,including bank account information, routing and account numbers, debit card information, and transaction data, or similar data protected as Sensitive Personal Information under applicable law, and relevant information in connection with a financial transaction;
    • Government Identity Data, such as your date of birth, Tax Identification Number (TIN), your Social Security Number (SSN), copies of your passport, driver’s license, other national ID, any information captured on such ID (such as facial images/photographs) or through our ID verification process (including ID verification results), and device fingerprinting;
    • Precise Location Data*, including data from GPS, WiFi triangulation, certain localized Bluetooth beacons, or technologies used to locate you at a precise location and time.*Your device’s operating platform may provide you with a notification when the app attempts to collect your precise geolocation. Please note that if you decline to allow Branch App to collect your precise geolocation, you may not be able to use all of the app’s features (like locating ATM locations near you). We do not control or supervise how third-party sources process your Personal Information, and any request that you have regarding the disclosure of your Personal Information from them to us should be made directly to those third parties (such as Meta or LinkedIn).

  7. Sources of your Personal Information

    Branch obtains your information in the following ways:

    • From You. You provide Personal Information to us when you use the Branch Service, for example you provide us with your identity and contact information in order to open an account.
    • From Your Devices. Your device automatically provides us with information about your device in order to facilitate your use of the Service. Your devices may prompt you to share data with Branch when you access certain services like our ATM locator.
    • From Our Partners. Branch receives information from the Sponsor Bank, Integrated Service providers, Payor Partners, and other partners engaged to facilitate Branch's Services.
    • Third-Party Sources. Branch may receive information from third party sources who help us supplement the information you have provided (e.g., credit bureaus, other financial institutions and banks and payment networks).
    • Public Sources. We may obtain information from public records, social media platforms, and other publicly available sources.
    • Data Providers. We may receive Personal Information from independent third-party sources, such as information service providers or similar sellers or licensors of Personal Information.
    • Government Sources. We may receive data from regulators, consumer protection agencies, and any other institutions through which you may request resolution to any issues you may encounter.

  8. Data Processing Contexts / Notice at Collections

    Core Services

    Branch App

    We automatically collect and process Contact Data, Device Data, Geographic Location Data, and Inferred Data when you access and use our Branch App. We use this Personal Information as necessary to operate our Branch App, such as keeping you logged in, delivering content, for information security operations, and our other Business Purposes.

    If you elect to do so, we may collect Precise Location Data. We use this information as necessary to provide location services to you, e.g. to locate certain ATMs and rewards in the Branch App. You can opt-out of the collection of Precise Location Data through your device operating system. We do not “share” Precise Location Data or use it for Business Purposes except to the extent permitted under applicable law with respect to Sensitive Personal Information.

    Account Registration

    We may process Contact Data, Biographical Data, Device Data, and User Data when you sign up for an account on the Branch App. We process this Personal Information as necessary to perform or initiate a contract with you and our Sponsor Banks, or for our Business Purposes.

    Financial Account Enrollment and Servicing

    We may process Contact Data, Transaction Data, and Financial Data, Automated Data, Account Credentials, and Government Identity Data when we facilitate the creation of or manage your accounts through the Branch App.

    We process this Personal Information as necessary to facilitate creation of a contract with you and the Sponsor Bank, to provide our Services, or for our Business Purposes. We do not sell or share Personal Data processed in this context. We process Sensitive Personal Information only for Business Purposes permitted under applicable law.

    Branch Direct

    We may process Contact Data, Transaction Data, Sensitive Identity Data, and Financial Data when you opt to have a payor send funds to your existing, non-Branch account via debit card through our Branch Direct program (“Branch Direct”). We process this Personal Information to process your direct payouts, to confirm your identity, prevent fraud, to provide the Branch Direct service, and for our Business Purposes.

    Visiting the Website

    Generally

    We process Automated Data, Automated Data, and General Location Data when you visit our Website. You may also be able to login to the admin portal, submit a form to request a demo, or enroll in marketing communications through our Website.

    We may use this Personal Information as necessary to operate our Website, such as keeping you logged in, delivering pages, etc., for our Business Purposes (see below), and our other legitimate interests, such as:

    • ensuring the security of our websites, mobile applications and other technology systems; and
    • analyzing the use of our Services, including, but not limited to, navigation patterns, clicks, etc., to help understand and make improvements to the Services.

    We may process this Personal Information for our Commercial Purposes (see below).

    Cookies and Other Tracking Technologies

    We process Automated Data, Automated Data, General Location Data, and Inferred Data in connection with our use of cookies, web beacons, and similar technologies on our Website. We may collect this data automatically.

    Third parties may view, edit, or set their own cookies or place web beacons on our websites. We, or third party providers, may be able to use these technologies to identify you across platforms, devices, sites, and services. Third parties may engage in Targeted Advertising using this data. Third parties have their own privacy policies and their processing is not subject to this Policy.

    We use the following technologies to facilitate the automatic data collection described above:

    • Cookies, which are small text files that websites store on user devices and that allow web servers to record users’ web browsing activities and remember their submissions, preferences, and login status as they navigate a site. Cookies used on our sites include both “session cookies” that are deleted when a session ends, “persistent cookies” that remain longer, “first party” cookies that we place and “third party” cookies that we place on our websites and app for social media, advertising, analytics companies, and other service providers.
    • Logical storage technologies, like HTML5, that provide cookie-equivalent functionality but can store larger amounts of data on your device outside of your browser in connection with specific applications.
    • Pixels or web beacons, also known as pixel tags or clear GIFs, enable collection, storage, and sometimes sharing of your information and/or your actions taken, such as whether you accessed or opened a webpage or email or that you viewed or clicked certain content. Certain pixels include computer-code snippets that enable the collection and sharing of information back to web servers of third parties.

    We and authorized third parties may use cookies and similar technologies for the following purposes:

    • for “essential” purposes necessary for our Website and App to operate (such as maintaining user sessions, CDNs, and the like);
    • for “functional” purposes, such as to enable certain features of our Website and App (for example, geo-targeting, language settings, and the ability to leave a comment);
    • for “analytics” purposes and to improve our Website and App, such as to analyze the traffic to and on our Website (for example, we can count how many people have looked at a specific page, or see how visitors move around the website when they use it, to distinguish unique visits/visitors to our Website, and what website they visited prior to visiting our Website, and use this information to understand user behaviors and improve the design and functionality of the website); and
    • On the Website, for Targeted Advertising.

    Requests for Demos, Service Requests, Contact Us

    We may process Contact Data, Communication and Online Content, Geographic Location Data, Automated Data, Automated Data, and other information you choose to provide when you request a quote, schedule a demo, or submit a service request via the Website or via email. If you call us via phone, we may collect Audio/Visual data from the call recording.

    We process this Personal Information to respond to your request, and communicate with you, as appropriate, and for our Business Purposes. If you consent, or if permitted by law, we may use Contact Data to send you marketing communications and for our Commercial Purposes.

    ‍Admin Accounts

    ‍
    We process Account Credentials and Contact Data when Payor Partners log in to an admin account. We use this Personal Information to maintain your account, to verify your identity, to provide the products and services you request, to communicate with you about your account and this Policy, and for our Business Purposes.

    ‍Marketing Communications

    ‍
    We process Contact Data, Communication and Online Content, Geographic Location Data, Inferred Data, Automated Data, Telephone Carrier Data, and other information you choose to provide in connection with marketing emails, telemarketing, or similar communications, and when you open or interact with those communications. Before this Personal Information is processed, we may offer you the opportunity to choose whether or not to have your Personal Information used in this way. You may receive marketing communications if you consent and, in the United States, you may receive email marketing communications as a result of requesting a demo or completing a transaction.

    We process this Personal Information to contact you or your business about relevant products or services and for our Business Purposes. We may use this data for our Commercial Purposes. Marketing communications may also be personalized as permitted by applicable law. You may choose to stop receiving our marketing communications by following the unsubscribe instructions included in those communications or you can contact us at support@branchapp.com. Please see the “Opt-Out – Your Choices” section below for more information.

    Professional Engagements

    We process Contact Data, User Demographic Data, User Content, Communication and Online Content and Financial Data in connection with your application for employment or to become an independent contractor.

    We process this Personal Information as necessary to evaluate, establish, and maintain the employment relationship, including, but not limited to, to conduct background checks, to provide employment benefits, and for financial administration. We may also process this Personal Information for human resources purposes, such as managing identity and credentials, administering security and loss prevention, or analyzing and consolidated reporting. We may further process Personal Information in this context for our Business Purposes. We do not sell or share Personal Information processed in this context. We process Sensitive Personal Information only for Business Purposes permitted under applicable law.

    ‍In-Person Events, Webinars, Demos

    ‍
    We process Contact Data, Transaction Data, and other information you choose to provide when you attend an in-person or online events, including, but not limited to, webinars, seminars, presentations, and demos. We may process Audio/Visual Data if the online event is recorded. We process this Personal Information to tailor the presentation, to respond to your request, and for our Business Purposes and our Commercial Purposes.

    In addition to the processing described above, Branch generally uses Personal Information for a number of legitimate business purposes to provide you with reliable and secure Services, including without limitation, the purposes described below:

    ‍Providing the Branch Service. We may use one of more categories of Personal Information we collect to facilitate your transactions and otherwise provide the Services.

    ‍Improving and developing the Branch Service. We may use certain Personal Information we collect to understand how you use the Services, and how we can improve it. We also use Personal Information to analyze trends and performance to identify future opportunities for the development, promotion, and improvement of the Branch Services. We also use analytics services, such as Google Analytics, to help us understand how users access and use the Services.

    ‍Securing the Service and Fraud Detection. Branch processes and analyzes Personal Information we collect for the purposes of maintaining the safety and security of our systems, the Branch Website, the Branch App, and the Branch Service, including identifying and troubleshooting problems with the Services, investigating suspicious activity, detecting potentially fraudulent or unauthorized transactions, enforcing our terms and policies, and in protecting the rights of Branch, our customers, and those we all do business with.

    ‍Providing Customer Support. Branch processes Personal Information we collect to verify your identity and to provide customer care and support services, including to help us respond to your inquiries, advise you about account features, resolve issues with your Branch Card or Branch Account and to otherwise, improve the quality of the Services. We also use this information to provide appropriate training to Branch staff and contractors. Please note, we may use automated chat capabilities where you may be interacting with a bot rather than a person for appropriate questions.

    ‍Sending Administrative Communications. Branch may use your information to send you information related to the Services, such as confirmations, technical notices, service updates, security alerts, and support, onboarding, and administrative messages.

    ‍Sending Marketing Communications. Branch may use your information, including marketing analytics, to advertise and promote the Services by phone, text, email, or chat, and additional products and services from our partner companies, according to your marketing preferences.

    ‍Aggregate/Anonymized Data. To improve, analyze, and market Services, Branch may transform your Personal Information into deidentified or anonymized information which cannot be used to identify you and by aggregating or combining deidentified data with other information.

    ‍Complying with Legal Obligations. Branch may use Personal Information to fulfill Branch’s legal and regulatory obligations, including, without limitation:
    ‍
    • to cooperate with public and government authorities, courts or regulators in accordance with applicable laws;
    • to protect against, investigate, and deter fraudulent, unauthorized, or illegal activity;
    • to protect Branch’s legal rights, pursue remedies available to us, and limit our damages;
    • to protect against misuse or abuse of the Service;
    • to protect personal or public property or safety;
    • to comply with judicial proceedings, court orders or legal processes; or
    • to respond to lawful requests.

    With Notice to You and Your Consent. Branch may also use Personal Information after providing notice to you of the intended use and obtaining your consent.

    In using your Personal Information, we may share some or all of it with authorized representatives of the Sponsor Bank, your workplace, and other entities that you may designate whose activities relate to the Branch Service without seeking your consent. Please refer to “Who Does Branch Share Your Personal Information With?” Section of this Policy below for a full description of our information sharing practices.

  10. Who Does Branch Share Your Personal Information With?

    Branch may disclose your Personal Information as set forth below:

    ‍Disclosures to Sponsor Banks and Integrated Services

    ‍
    Branch operates and provides services to you through a network of Sponsor Banks and Integrated Services. Sponsor Banks and the Integrated Service providers are independent “data controllers” and are not subject to this Policy, but when you use the Branch App or our Services, you direct us to engage, or we may facilitate data transfers to the Sponsor Banks or Integrated Services providers. We provide you with information about certain of these Sponsor Bank and Integrated Service providers below:

    ‍Sponsor Banks. Branch shares Personal Information it collects with its Sponsor Banks, Lead Bank and Evolve Bank & Trust, in order to enable it to issue a debit account to the primary accountholder, open a sub-ledger account at the Sponsor Bank, verify your identity, and other operational services. As the card issuer and depository bank, the Sponsor Bank has a direct contractual relationship with the primary accountholder through the cardholder agreement that accompanies the account and card. The Sponsor Bank engages us as a service provider in the capacity as the program manager for the debit card program, and we are responsible for marketing, distribution, and operation of the debit card program. In order to understand your rights in connection with information gathered by, processed, and shared by the Sponsor Bank see:

    • Evolve’s privacy policy available at http://www.getevolved.com/privacy-policy/.

    Your workplace or wherever you are providing services. In using your Personal Information, we may share some or all of it with authorized representatives of your workplace or wherever you are providing services.

    ‍Plaid, Inc. (“Plaid”). Branch uses Plaid’s open banking interface to complete your requests by inputting your online banking credentials instead of full bank account and routing numbers. By using the Branch Service, you grant us and Plaid the right, power, and authority to act on your behalf to access and transmit your financial information from the relevant financial institution. You agree to your information being transferred, stored, and processed by Plaid in accordance with the Plaid Privacy Policy, found here https://plaid.com/legal. If you decide not to use the Plaid service to verify your bank account, you will have the option to perform a manual verification of your bank account using other processes that we provide for this purpose.

    ‍Disclosures to Provide Branch’s Services

    ‍
    Other Service Providers.
    Branch shares your Personal Information with selected outside companies to assist us in providing you with the Branch Service. Branch cannot offer the Branch Service without sharing your Personal Information with these service providers. Branch’s other service providers include, but are not limited to, Amazon, Apple, and Google, as well as insurance companies and other professional advisors.

    ‍Third Party Processors. Branch shares your Personal Information with third party processors who act on our behalf to provide our Services and to help with operations on our behalf (“Processors”). Processors provide us with technical support, give us additional data about you, and to perform analytics and other work that we may need to outsource. These Processors are bound by law and/or contract to protect the confidentiality and security of your Personal Information. They only process your Personal Information to provide requested services for us.

    ‍Legal Obligations and Regulatory Agencies. Branch may disclose any or all categories of your Personal Information where such disclosure is necessary for compliance with a legal obligation to which we are subject, or in order to protect your vital interests or the vital interests of another natural person.

    ‍Our Professional Advisors. Branch may disclose all such categories of your Personal Information to our professional advisers as is reasonably necessary for the purposes of managing risks, obtaining professional advice, or the establishment, exercise or defense of legal claims, whether in court proceedings or in an administrative or out-of-court procedure. Further, we may share some or all of your Personal Information in connection with or during negotiation of any merger or similar transaction involving sale or transfer of some or all of our business or assets. If another company acquires our company or assets, that company will possess the Personal Information collected by us and will assume the rights and obligations regarding your Personal Information as described in this Privacy Policy.

    We retain information we collect about you, and use the following factors to determine the retention period of Personal Information:

    • Necessity to maintain an ongoing relationship with you as a customer, member, or business contact (for example, when you are a recipient of any of our Services).
    • The applicable terms and services to which you agreed.
    • Necessity in connection with the lawful purposes set out in this Policy.
    • Necessity to establish, exercise or defend our legal rights.
    • Industry best practices.
    • Whether the purpose of processing is reasonably likely to justify further processing.
    • Risks to individual privacy in continued processing.
    • Applicable data protection impact assessments.
    • IT systems design considerations/limitations.
    • The costs associated with continued processing, retention, and deletion.

    We will review retention periods periodically and may pseudonymize or anonymize data held for longer periods.

  12. Security

    To help protect the privacy of your Personal Information collected by us, we maintain reasonable physical, technical, and administrative safeguards. We update and test our security technology on an ongoing basis. For security of data, we use the Secure Sockets Layer (SSL) protocol for data in transit, which encrypts all information you send to us electronically. The encryption process protects your information, by scrambling it before it is sent to us from your computer or mobile device. Once we receive your transmission, we make commercially reasonable efforts to ensure its security on our system by using industry grade 256-bit encryption algorithms. We also restrict access to your Personal Information to those employees who need to know that information in order to provide the Branch Service to you. In addition, we train our employees about the importance of confidentiality and maintaining the privacy and security of your information. Despite the actions and precautions we take, no data transmissions over the Internet can be guaranteed to be 100% secure. Consequently, we cannot ensure or warrant the security of your Personal Information.

  13. Cross-Border Transfers of Personal Information

    Our Service and this Policy are strictly intended for users located in the United States and are provided in accordance with and subject to applicable United States law. Our Website, Branch App, and the Services are U.S. based and are controlled and administered by Branch from within the United States. Branch service providers may operate from locations outside of the United States and may process and store Personal Information for the purposes described in this Policy in the United States or in any other country where Branch or its Processors operate. Some personal information is required to provide the Service.  If you choose not to provide Branch with required information, Branch will not be able to provide the Services to you. We want you to be aware of the choices you have in limiting the sharing of your personal information.
    • Access or Update Your Information (Registered Users). ‍If you have an account with us, you may review and update certain account information by logging into your account. To update your profile, open your Branch App and log into your account. The Branch App is password protected to safeguard your information. As a registered user, you can update your password, physical address, and phone number at any time on the Branch App. If you need to change any other information in your profile, please contact our customer service hotline at 1 (866) 547-2413.
    • Advertising choices. You can limit use of your information for interest-based advertising by:
      • Browser settings. Blocking third-party cookies in your browser settings.
      • Privacy browsers/plug-ins. By using privacy browsers or ad-blocking browser plug-ins that let you block tracking technologies.
      • Platform settings. Google, Bing, Facebook, and TikTok offer opt-out features that let you opt-out of use of your information for interest-based advertising:
