- Direct to Consumer On Demand Pay Applies to Regular Income Only. The Direct ODP Service applies only to regular salary, wage or other income amounts that Branch can view through your Bank Account activity. Branch will not consider off-cycle deposits such as bonuses, expense reimbursements or similar amounts that are not part of your regular pay or income cycle in calculating the maximum amount you may be able to receive as an Advance. You cannot request retroactive Advances for past pay periods.
- Enrollment in Direct ODP Service. If you meet the eligibility requirements in Section 3A above, you then can access the Direct ODP Service either directly via web browser at direct.branchapp.com or through a compatible third-party mobile application authorized by Branch (both of which, the “Branch Direct Website”). - Connect Your Linked Card. Once your Bank Account is connected, you will then connect your Linked Card.
- Anti-Money Laundering Notice. To help the government fight the funding of terrorism and money laundering activities, federal law requires financial institutions and their third parties to obtain, verify, and record information that identifies each person who uses their services. What this means for you: when you complete the Verify Your Identity step of enrollment in the Direct ODP Service, we may ask for your name, address, date of birth, social security number or Individual Taxpayer Identification Number ("ITIN"), and other information that will allow us to identify you. We also may ask to see your driver's license or other documentation bearing your photo as verification of your identity.
- Changes to Your Personal Information. You agree to promptly notify Branch of changes to your address, email address and other personal information provided in connection with your enrollment in the Direct ODP Service.
- Eligibility Requirements. To participate in the Direct ODP Service, employees must meet the following requirements:
- OPTIONAL SERVICE. The Direct ODP Service is optional. You are not obligated to use it. If you elect to use the Direct ODP Service to request an Advance, there is no obligation to request subsequent Advances.
- DETERMINING ADVANCE LIMITS. Branch uses Plaid to securely access and review your Bank Account activity in accordance with the Plaid Privacy Policy, the Branch Privacy Policy and applicable law. We evaluate factors such as your direct deposit income, spending patterns and other account activity to establish your initial maximum daily and per-pay-period Advance limit (“Advance Limits”). Your initial Advance Limits will be displayed on the Branch Direct Website and will be subject to change over time based on the above-described factors.
- ADVANCE REQUESTS AND FEES. You can use the Branch Direct Website to view your Advance Limits and to request a transfer of all or part of your available Advance Limits to your Bank Account. Each request is considered an Advance.
You have two options to receive your funds.- Standard Advances. Have funds sent to your Bank Account via ACH or its equivalent. Funds generally arrive in 1-2 business days. There is no fee for Standard Advances.
- Instant Advances. Elect to receive funds more quickly for a fee using the Instant Advance option. While most Instant Advances are completed within minutes, some may take thirty (30) minutes or longer due to network or other issues. The fees for Instant Advances vary based on your employer and the amount requested and will be disclosed on the Branch Direct Website.
Note: Your bank may charge additional fees for ATM transactions, cash withdrawals or certain fund transfers into or out of your Bank Account.
- COMPLETING AN ADVANCE REQUEST. Before confirming each Advance, the Branch Direct Website will display: (a) the Advance amount; (b) any applicable fees; (c) a link to the Direct ODP Terms; (d) a notice informing you that, by providing your signature, you are bound by the linked Direct ODP Terms and you are authorizing Branch to deduct the Repayment Amount (defined below) from your Bank Account through your Linked Card on the Scheduled Repayment Date (defined below); and (e) a place to provide your electronic signature. Once you provide your signature and confirm the request by pressing or clicking the appropriate button, your Advance request is complete. You will then receive the Advance amount per the Advance option you selected (Standard or Instant).
- ADVANCE AGREEMENT. After you complete an Advance request as described in Section 7, you can view your Advance Agreement, which will contain the Advance amount plus any applicable fees, a link to the Direct ODP Terms, your repayment authorization, your signature, and the time and date your signature was provided. Each Advance Agreement will continue to be available for your review on the Branch Direct Website. The Direct ODP Terms and the associated Advance Agreement (each as amended from time to time) will apply to each Advance.
- REPAYING ADVANCES FROM YOUR BANK ACCOUNT. Subject to your right to cancel described below in Section 10, upon taking an Advance, you authorize Branch to deduct the following amounts from your Bank Account through your Linked Card: (a) the total amount of all Advances made during the pay period, plus (b) fees for Instant Advances, if any, and (c) if applicable, the balance of any prior Advances and related fees, if any, that have not previously been repaid (together, the "Repayment Amount"). The debit by Branch of the Repayment Amount from your Bank Account through your Linked Card is an "Advance Repayment." Subject to state and federal regulations, Branch will schedule the Advance Repayment to occur on or close to your next regularly scheduled direct deposit date (or any earlier date on which those funds are made available to you) (the "Scheduled Repayment Date"). At least one (1) day before the Scheduled Repayment Date, Branch will notify you in writing of the Repayment Amount.
On the Scheduled Repayment Date, Branch will seek to deduct the full Repayment Amount. If the full Repayment Amount is not deducted on that date for any reason other than your timely exercise of the right to cancel under Section 10 (such as insufficient funds in your Bank Account), you authorize Branch to seek the remaining, unrecovered portion of the Repayment Amount through one or more additional deductions, all of which must occur in the first three pay periods after your Scheduled Repayment Date, and none of which will exceed the then-unrecovered portion of the Repayment Amount. EACH SUCH DEDUCTION IS PART OF THE SINGLE AUTHORIZATION YOU PROVIDED WHEN YOU COMPLETED THE ADVANCE REQUEST AS DESCRIBED IN SECTION 7 AND DOES NOT REQUIRE SEPARATE NOTICE. - NO OBLIGATION TO PAY AND YOUR RIGHT TO CANCEL ADVANCE REPAYMENTS
Advance Repayments are optional and all Advances are sent at your request in accordance with these Direct ODP Terms. You have no obligation to repay an Advance or any fee, charge, or other amount to Branch in connection with an Advance. Any amount you elect to allow Branch to deduct is entirely voluntary. If you wish to exercise your right to cancel an Advance Repayment, you must notify Branch either by phone at (956) 625-9896 or by email at support@branchapp.com not less than three (3) business days prior to your Scheduled Repayment Date, and Branch will cancel the Advance Repayment. If you seek to exercise your right to cancel less than three (3) business days prior to your Scheduled Repayment Date, Branch will attempt to cancel the Advance Repayment but cannot guarantee such attempt will be successful. If you seek to exercise your right to cancel an Advance Repayment by means other than by phone or email as described above, Branch may, in its discretion, cancel the Advance Repayment.
For the avoidance of doubt, Branch warrants that Branch has no legal or contractual claim or remedy against you if you elect not to repay or otherwise do not pay any amounts and Branch will not:- Engage in debt collection activities related to any Advance that is not repaid;
- Report non-payment of any Advance to a consumer reporting agency; or
- Place any unpaid Advances with, or sell them to, a third-party collection agency or service.
- CANCELLING YOUR PARTICIPATION IN THE DIRECT ODP SERVICE. If you no longer wish to participate in the Direct ODP Service, all you have to do is stop requesting Advances. There are no cancellation or other fees charged by Branch in connection with your decision to no longer participate in the Direct ODP Service or stop requesting Advances.
- SUSPENSION OR TERMINATION OF ACCESS TO DIRECT ODP SERVICES
- Suspension For Insufficient Funds or Cancelled Advance Repayments If you: (i) successfully cancel an Advance Repayment as described in Section 10 above; or (ii) Branch is unable to recover the entire Repayment Amount due to insufficient funds in your Bank Account, Branch will suspend your access to the Direct ODP Service until all Repayment Amounts have been repaid to Branch. For the avoidance of doubt, you have no obligation to pay any amounts in connection with an Advance.
- Branch Termination Rights. Branch may suspend or terminate your access to the Direct ODP Service, cancel a requested Advance or take any other action we deem appropriate, if we reasonably believe:
- You have engaged in fraudulent, suspicious, or criminal activity in connection with the Direct ODP Service;
- You have violated these Direct ODP Terms or any other agreement you have with Branch or its Sponsor Bank;
- You have breached any representation, warranty, or covenant in Section 16 of these Terms; or
- Such action is necessary or advisable for legal or security reasons or to protect the Branch Direct website or the Direct ODP Service.
- If your account is suspended under Section 12.B, the suspension will continue while we further investigate the grounds for the suspension and, if applicable, take steps to recover any Advances we believe were improperly obtained.
- Employer-Initiated Changes. Branch may delay, suspend, or terminate your access to the Direct ODP Service upon notification from your employer that your employment has ended or been suspended or if your employer advises Branch that it has decided to discontinue offering the Direct ODP Service.
- REVERSAL OF ERRONEOUS ADVANCES. Branch reserves the right to reverse any erroneous transactions up to the amount of the error. This may occur if we inadvertently credit your Bank Account for an Advance you did not request, or that was intended for another employee, or that exceeds the amount requested.
- TERMS MAY VARY. Your state of residence may require specific terms or features for Advances that differ from these Direct ODP Terms, as disclosed below in Section 19. The Direct ODP Service may not be available in all U.S. jurisdictions.
- YOUR CONSENT TO DATA SHARING BETWEEN YOUR EMPLOYER AND BRANCH. Branch’s Direct ODP Service relies, in part, on your employer or other related partner (such as an application platform used by you and your employer) providing information to Branch about your employment status and identity. Branch may collect, use, and share your information with its vendors to the extent required to provide the Direct ODP Service in accordance with our Privacy Policy and those of our vendors. Branch may request additional information from you, your employer, or other related partner from time to time. By requesting an Advance, you consent to your employer or related partner sharing certain of your Personal Data (defined below) with Branch, to the extent needed to deliver the Direct ODP Service and consent to Branch sharing your Personal Data and other information about your Advances with Branch’s vendors and service providers, in each case, to the extent necessary to facilitate delivery of the Direct ODP Service.
- As used herein, “Personal Data” includes:
- Your name;
- Your employer identification number, if applicable;
- Your contact information (including your email and your mobile phone number);
- Amounts owed to you by your employer as wages or other earnings and, where applicable, timecard information;
- Your gross and net regular pay;
- Your date of birth;
- The last four digits of your social security number or tax identification number; and
- Any other information required to be shared to facilitate the Direct ODP Service.
- Branch only requests Personal Data from your employer or related partner to the extent required to provide the Direct ODP Service. In accordance with the Privacy Policy, Personal Data obtained by Branch is not shared with third parties other than Branch’s vendors and third-party service providers, as applicable, and where required, Branch's regulators.
- As used herein, “Personal Data” includes:
- EMPLOYEE REPRESENTATIONS AND WARRANTIES. Each time you request an Advance, you represent and warrant to Branch that at the time of your request:
- You are employed and in good standing with your workplace and have not been notified of a layoff, termination or other job action which will result in a reduction of your next paycheck;
- Your unpaid income used to calculate your Advance has not been modified, dismissed, settled, or paid; and represents amounts owed to you by your workplace for services performed in the ordinary course of your employment, or from your other regular income sources;
- You have not received an advance from another earned wage access provider for any part of the wages you have earned during that pay period or for other regular income you have received during that pay period.
- Your Bank Account remains in good standing and is not subject to any judgment, lien, set-off right or other action which will interfere with Branch deducting the Repayment Amount on the Scheduled Repayment Date (if you elect to permit that Advance Repayment rather than exercising your right to cancel per Section 10);
- You have the right to authorize Branch to deduct the Repayment Amount from your Bank Account through your Linked Card; and
- When the Repayment Amount is deducted on the Scheduled Repayment Date, the remaining net amount will be sufficient to allow you to meet basic living expenses until your next regularly scheduled paycheck.
- Advance Request Covenant. In addition, each time you request an Advance, you also agree to notify Branch immediately in the event you learn of a change to your normally scheduled pay date or a change to the amount of your pay.
- DISPUTES WITH YOUR EMPLOYER. In determining Advance Limits, Branch relies in part on information your employer provides to Branch about you. Sometimes your records and those of your employer may differ about the amount of wages or other earnings you have earned or the amounts owed to you. We do not resolve or otherwise become involved in disputes between you and your employer. It is up to you to address such discrepancies directly with your employer.
